The basis on which we supply goods.
Written to be read, not to be endured. They form part of the agreement between us and our customers, so please take the time to read them.
These Terms & Conditions explain the basis on which RGS Group Limited supplies goods to its customers.
We've kept them as straightforward as possible, but they form part of the agreement between us and our customers, so please take the time to read them.
In these terms:
- “RGS”, “we”, “us” or “our” means RGS Group Limited.
- “Customer”, “you” or “your” means the person, business or organisation purchasing goods from us.
- “Goods” means the products or items supplied by us.
1. Our Terms
These Terms & Conditions apply to goods supplied by RGS and form part of the contract between us and the Customer.
Any variation to these terms must be agreed by RGS in writing by an authorised representative.
If there is any conflict between these Terms & Conditions and any other terms proposed by the Customer, these Terms & Conditions will apply unless we have expressly agreed otherwise in writing.
2. Quotations
Unless we tell you otherwise, quotations provided by RGS remain open for acceptance for 30 days from the date of the quotation.
A quotation does not create a contract until an order has been accepted by us.
Any drawings, specifications, descriptions or other information provided as part of a quotation are intended to describe the goods as accurately as reasonably possible.
3. Prices
Unless otherwise stated, prices are exclusive of VAT and any applicable delivery charges.
Prices quoted are based on the costs applicable at the time the quotation is provided.
RGS reserves the right to amend prices up to the date of dispatch where necessary.
Where a price has been provided in error, we reserve the right to correct it and will let you know before proceeding with the order.
4. Orders
Orders are subject to acceptance by RGS.
Once accepted, an order forms a contract between RGS and the Customer under these Terms & Conditions.
The Customer is responsible for making sure the information provided with an order is complete and accurate, including product requirements, quantities and delivery information.
Any changes requested after an order has been accepted may be subject to our agreement and could affect the price or delivery date.
5. Payment
Where a Customer has an approved credit account with RGS, payment is due within 30 days of the invoice date in accordance with the agreed account terms.
Customers without an approved credit account may be required to make payment before goods are dispatched.
If payment becomes overdue, we reserve the right to charge interest and recover reasonable costs associated with recovering the outstanding amount, where permitted by law.
We may also suspend further deliveries or orders while an account remains overdue.
6. Delivery
We'll make reasonable efforts to deliver goods within any estimated timescale we've provided.
Delivery dates are estimates unless we have expressly agreed otherwise in writing, and time for delivery is not normally of the essence of the contract.
We won't be responsible for delays caused by circumstances outside our reasonable control.
Delivery charges may apply and will be confirmed as part of the order or quotation.
7. Receiving Your Delivery
Customers should check goods as soon as reasonably possible after delivery.
Any partial loss, misdelivery or shortage must be reported to RGS in writing within 3 days, with any formal claim submitted within 14 days.
Where a whole consignment or package has not been delivered, RGS must be notified in writing within 3 days, with any formal claim submitted within 14 days of dispatch.
Claims made outside these notification periods may not be accepted.
If you believe there is a problem with a delivery, please contact our team as soon as possible so that we can look into it.
8. Risk and Ownership
Risk in the goods passes to the Customer in accordance with the applicable delivery arrangements.
Ownership of goods supplied by RGS remains with RGS until we have received payment in full for the goods and any other amounts due to us.
Until ownership passes to the Customer, the goods must be held on behalf of RGS, kept in satisfactory condition and, where appropriate, kept separately and clearly identifiable as goods belonging to RGS.
The Customer must not sell, dispose of or otherwise deal with the goods in a way that would prevent RGS from exercising its rights over them while ownership remains with RGS.
Where payment becomes overdue or the Customer becomes insolvent, RGS reserves the right, where legally permitted, to recover goods that remain our property.
9. Faulty or Defective Goods
Customers should inspect goods following delivery and notify RGS promptly if they believe goods are faulty, defective or do not conform with the order.
Where a defect or non-conformity is apparent on reasonable inspection, the Customer should notify RGS within 14 days of delivery.
RGS will assess the issue and, where appropriate, arrange for the goods to be repaired, replaced, returned or otherwise dealt with in accordance with the applicable warranty and contract.
Nothing in these terms is intended to exclude any rights or remedies that cannot legally be excluded.
10. Returns
We understand that sometimes something needs to come back.
Returns are subject to approval by RGS and goods should normally be returned within 30 days.
Unless goods are faulty or have been incorrectly supplied by RGS, returned goods must be unused, in a resaleable condition and, where appropriate, in their original packaging.
Customers should contact us before returning goods so that we can confirm the appropriate return arrangements.
Returned goods may be subject to a restocking charge.
Original delivery charges are not normally refundable, and the Customer may be responsible for the cost of returning the goods unless they are faulty, damaged or have been incorrectly supplied by RGS.
11. Special-Order and Bespoke Goods
Goods that have been specially ordered, manufactured, configured or customised for a Customer may not be returnable unless they are faulty or RGS agrees otherwise.
Where an order for bespoke or specially sourced goods is cancelled after work or procurement has begun, the Customer may be responsible for costs already incurred by RGS.
12. Product Information and Suitability
We take reasonable care to make sure the product information, specifications and descriptions we provide are accurate.
Product images are for illustration purposes and manufacturers may make changes to product specifications, designs or appearance from time to time.
The Customer is responsible for making sure that goods are suitable for their intended purpose and environment.
Where appropriate, our team can provide product information and recommendations to help the Customer make an informed decision. However, the Customer remains responsible for determining the suitability of the goods for their particular requirements.
13. Warranties
Goods may be covered by a manufacturer's warranty or an RGS warranty depending on the product supplied.
Any applicable warranty terms will be provided with the product, quotation or other relevant documentation where appropriate.
Unless the relevant warranty states otherwise, warranties do not normally cover damage resulting from misuse, accidental damage, unauthorised modification, incorrect installation, normal wear and tear or failure to follow relevant instructions.
14. Our Liability
Nothing in these Terms & Conditions excludes or limits RGS's liability where it would be unlawful for us to do so.
Subject to this, RGS will not be responsible for indirect or consequential loss arising from the supply or use of goods where such liability can lawfully be excluded.
RGS's liability in connection with goods supplied is limited to the value of the goods concerned, except where liability cannot legally be limited in this way.
The Customer remains responsible for following applicable product instructions, safety information and any professional or clinical requirements relevant to the use of the goods.
15. Circumstances Outside Our Control
Sometimes things happen that neither we nor our customers can reasonably control.
RGS will not be responsible for a failure or delay in meeting our obligations where this is caused by circumstances outside our reasonable control.
This may include transport disruption, supply chain interruption, industrial action, fire, flood, severe weather, acts of government, war, civil disturbance, utility failures or other events beyond our reasonable control.
We'll make reasonable efforts to minimise the effect of any disruption and resume our obligations as soon as reasonably possible.
16. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in materials created or owned by RGS remain the property of RGS or the relevant rights holder.
This includes, where applicable, product information, designs, drawings, photographs, website content, branding and other materials.
Nothing in these terms transfers ownership of those rights to the Customer unless expressly agreed in writing.
17. Information and Confidentiality
Where either party receives confidential business information in connection with an order or contract, that information should not be disclosed to another party unless disclosure is necessary to fulfil the contract, has been authorised by the other party or is required by law.
Personal information will be handled in accordance with our Privacy Policy.
18. Suspending or Ending a Contract
RGS may suspend an order, delivery or account where:
- payment is overdue;
- we reasonably believe the Customer may be unable to meet their payment obligations;
- the Customer materially breaches their agreement with us; or
- continuing with the order would cause RGS to breach a legal or regulatory requirement.
Where appropriate, we'll contact the Customer to explain the position.
Any rights or obligations that have already arisen before the contract is ended will continue to apply.
19. General
If any part of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A delay or failure by RGS to enforce a right under these terms does not mean that we have waived that right.
No person other than RGS and the Customer will have any right to enforce the contract unless expressly stated otherwise.
These Terms & Conditions, together with any quotation, order acknowledgement or other terms expressly agreed by RGS in writing, form the agreement between RGS and the Customer in relation to the relevant order.
20. Governing Law
These Terms & Conditions and any contract between RGS and the Customer are governed by the laws of England and Wales.
Any dispute or claim arising from or in connection with these Terms & Conditions, a contract of sale or the supply of goods by RGS will be subject to the jurisdiction of the courts of England and Wales.
